These terms of use (“Terms”) are a legal agreement between you and Care Active Corp. (“Care Active”, “we”, “us” or “our”). They apply to your use of our devices, software applications, websites and related services (collectively, the “Services”). By accessing or using the Services you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services.

1. Eligibility and Consent
You must be at least 18 years of age to create an account or use the Services. If you are under 18, a parent or legal guardian must create the account and provide verifiable consent on your behalf. By creating an account, you confirm that the registration information you provide is accurate, that you will maintain its accuracy, and that you will keep your account credentials secure. In the context of a research study, you may also be asked to acknowledge and sign a separate informed‑consent form that explains the purpose of the study, the data collected and your rights as a participant. If you do not wish to participate or you withdraw consent, please discontinue use of the Services and contact the study coordinator.

2. Purpose and Scope of the Services
Care Active products are designed to help locate personal items within a limited range and to send informational alerts. The Services are not intended to provide real‑time tracking, emergency response or life‑safety functions. Information provided by the Services (including notifications of device status or alarms) is for general informational purposes only and should not replace your own judgement or emergency services. You acknowledge that the Services may not function uninterrupted or error‑free and that you are responsible for your own safety measures.

3. Data Use and Privacy
We collect information about you when you register an account, place an order, or use the Services. This may include your name, contact details, payment information, device identifiers, approximate location data, usage logs and technical information. Please read our Privacy Policy to understand how we collect, use, share and safeguard your data and the choices available to you. If you use the Services as part of a research project, data will be de‑identified or anonymised for research analyses and any additional uses will be covered by the study‑specific consent. You retain control over your personal information and may request access, portability or deletion as described in our Privacy Policy.

4. Acceptable Use
You agree to use the Services only for lawful purposes and in accordance with these Terms. You will not:

• Violate any applicable law or regulation.

• Post or transmit content that is unlawful, discriminatory, harassing, defamatory, obscene, violent or otherwise inappropriate.

• Interfere with the operation of the Services, reverse‑engineer or attempt to gain unauthorised access to systems, data or communications.

• Use the Services to track or collect personally identifiable information about another person without their permission.

• Upload malware, viruses or harmful code, or attempt to tamper with our software, firmware or devices.

• Use another person’s account or share your account credentials without permission.

We may monitor compliance with these Terms and remove or block content that violates our policies. We reserve the right to suspend or terminate accounts for prohibited conduct.

5. User Content and Intellectual Property
You retain ownership of any stories, comments, feedback or other content you submit (“User Content”). By uploading User Content to the Services, you grant Care Active a limited, worldwide, non‑exclusive, royalty‑free licence to use, store, reproduce and display your User Content solely for the purpose of operating, maintaining and improving the Services. We will not sell your User Content. If you wish to remove your User Content, you can delete it through your account settings or contact support; however, copies may remain in backup systems for a limited period. Care Active owns all rights in and to its software, hardware and documentation, and nothing in these Terms transfers any ownership or licence to you except as expressly stated.

6. Service Availability and Updates
We work to maintain the Services but cannot guarantee they will be available at all times or free from defects. Interruptions may occur for maintenance, updates or unforeseen circumstances. We reserve the right to update software or firmware automatically without further notice. It is your responsibility to ensure that you have compatible hardware, a stable internet connection and an active Care Active account.

7. Third‑Party Services and Links
The Services may offer links to third‑party websites or allow integration with third‑party services. Care Active does not control or endorse these services and is not responsible for their content, privacy policies or practices. Use of third‑party services is at your own risk and may be subject to separate terms of use and privacy policies. We encourage you to review those policies before interacting with third parties.

8. Fees and Subscriptions
Some Services may require payment of subscription fees. We reserve the right to introduce or modify fees, with reasonable notice sent to the email address associated with your account. You may discontinue the Services at any time; by continuing to use a paid service after a fee change takes effect, you accept the new fees.

9. Account Termination and Data Deletion
You may terminate your account at any time by ceasing use of the Services and deleting your account through your settings or by contacting us. Upon termination, the licence granted to you under these Terms ends immediately, and we will delete or de‑identify your personal information in accordance with our Privacy Policy and any applicable legal requirements. We may suspend or terminate your account at our discretion if you violate these Terms. If your account is terminated for prohibited conduct, any prepaid fees are non‑refundable.

10. Indemnity and Limitation of Liability
You agree to indemnify and hold harmless Care Active, its officers, employees and partners from any claims, damages or expenses arising from your misuse of the Services, your violation of these Terms or your infringement of any rights of another person. To the extent permitted by law, Care Active will not be liable for indirect, incidental or consequential damages arising from your use of or inability to use the Services. We provide the Services “as is” and without warranties of any kind, except as required by law. The Services are not a substitute for personal judgement or emergency services.

11. Governing Law and Changes to These Terms
These Terms and any dispute arising out of or relating to them shall be governed by the laws of the Province of Ontario and the laws of Canada. We may amend these Terms from time to time. If we make material changes, we will provide notice through the Services or by email. Continued use of the Services after changes become effective constitutes your acceptance of the revised Terms.
